Terms and conditions
Last updated 12 October 2026
These terms explain how we work together when you use Rayex to source, pay for and ship goods between China and Nigeria. Please read them carefully.
01Agreement to these terms
These terms and conditions (the “Terms”) govern your access to and use of the Rayex website, client portal and services. By creating an account, requesting a quote, or using any part of our service, you agree to these Terms. If you are using Rayex on behalf of a business, you confirm you are authorised to bind that business to these Terms.
If you do not agree with these Terms, please do not use the service.
02Who we are
Rayex is a China to Nigeria trade partner. We help businesses and individuals source products from verified Chinese manufacturers, settle supplier payments, and move cargo by air and sea into Nigeria, with customs clearing support. References to “Rayex”, “we”, “us” and “our” mean Rayex and its authorised operators.
03The services we provide
Depending on what you request, our services may include:
- Product sourcing and factory vetting in Guangzhou and surrounding regions.
- Procurement coordination and supplier payment settlement.
- Air and sea freight from China to Nigeria, including consolidation.
- Customs clearing support and trade documentation.
- Shipment tracking and document access through the client portal.
We act as a trade facilitator and logistics coordinator. We are not the manufacturer of the goods you source unless we state so in writing.
04Your account and eligibility
You must provide accurate information when you register and keep it up to date. You are responsible for keeping your password secure and for all activity under your account. Tell us immediately if you believe your account has been compromised.
You must be at least 18 years old to use Rayex.
05Identity verification
To meet anti-money-laundering and know-your-customer obligations, some features require identity verification. Until your account is verified, you can get estimates and submit sourcing requests, but supplier payments and document downloads stay locked.
We review submissions manually and never verify an account automatically. We may ask for more information, or decline verification, where we are unable to confirm your identity or the information provided. How we handle the data you submit is described in our Privacy policy.
06Estimates and quotes
Shipping estimates produced in the portal are indicative only. They are based on the rates in effect at the time and can change with freight costs, exchange rates, cargo type and final measurements. They exclude duties and taxes beyond any clearing charges shown. A binding quote is the one our team confirms to you in writing for your specific shipment.
07Payments and supplier settlement
Fees for sourcing, freight and clearing are agreed before we proceed. Where we settle a supplier on your behalf, you authorise that payment based on the order details you approve. Exchange rates are applied as quoted at the time of settlement.
Unless stated otherwise, payments for goods and third-party charges are non-refundable once an order has been placed with a supplier or cargo has been dispatched, because those costs are committed on your behalf.
08Shipping, customs and delivery
Transit times are estimates and can be affected by carrier schedules, weather, inspections, customs processing and port conditions. We will keep your shipment status updated in the portal and work to resolve delays, but we cannot guarantee a specific delivery date.
You are responsible for ensuring the goods you import are permitted and for any duties, taxes and regulatory charges that apply in Nigeria. We will support the clearing process and advise on documentation such as Form M and PAAR where relevant.
09Prohibited and restricted goods
You may not use Rayex to source, pay for or ship goods that are illegal to export from China or to import into Nigeria, or that are restricted without the correct permits. This includes, without limitation:
- Counterfeit or infringing goods.
- Weapons, ammunition and controlled dual-use items.
- Narcotics and controlled substances.
- Goods that breach sanctions or applicable export controls.
We may refuse or stop any request that we reasonably believe breaches this section or the law.
10Your responsibilities
- Give us accurate product specifications, quantities and delivery details.
- Confirm that your intended imports comply with Nigerian regulations.
- Provide the documents and verification we reasonably request.
- Pay agreed fees and third-party charges on time.
11Liability and disclaimers
We provide the service with reasonable care and skill. To the extent permitted by law, we are not liable for indirect or consequential losses, or for losses caused by events outside our reasonable control, including supplier default, carrier delays, customs action or force majeure.
Nothing in these Terms limits any liability that cannot be limited under applicable law.
12Intellectual property
The Rayex name, logo, website and portal, including their content and design, belong to Rayex. You may not copy, modify or reuse them without our permission. Content you submit remains yours, and you grant us the permission needed to provide the service to you.
13Suspension and termination
You can stop using Rayex at any time. We may suspend or close an account if these Terms are breached, if we are required to by law, or to protect our clients and the integrity of our trade corridors. Obligations that by their nature should survive, such as outstanding payments, continue after an account closes.
14Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, and the Nigerian courts have jurisdiction over any dispute, without affecting any mandatory rights you have under local law.
15Changes to these terms
We may update these Terms from time to time. When we do, we will change the date at the top of this page and, for significant changes, let you know in the portal. Continuing to use the service after an update means you accept the revised Terms.
